Terms of Service

1. Acceptance of Terms

By accessing or using Ludoya, developed by Tenkai Workshop (the "Company"), you agree to comply with and be bound by these Terms. These Terms apply to all users of the App, including those who contribute content such as reviews, posts, and game logs.

2. Eligibility

To use the App, you must be at least 13 years old or have permission from a legal guardian. By using the App, you confirm that you meet this requirement. If you do not meet the age requirement, you are prohibited from accessing the App.

3. User Accounts

To access certain features of the App, you may need to create an account. When creating your account, you agree to:

  • Provide accurate and current information.
  • Maintain the confidentiality of your account credentials.
  • Be responsible for all activity that occurs under your account.

The Company reserves the right to suspend or terminate your account if you violate these Terms.

4. User Conduct

As a user of Ludoya, you agree not to:

  • Use the App for any illegal or unauthorized purpose.
  • Post or transmit any harmful, threatening, or offensive content.
  • Interfere with the App's operation, such as by introducing viruses or engaging in spamming activities.
  • Use automated means, including bots, to access the App.

You are responsible for your interactions with other users and agree to use the App responsibly.

5. User-Generated Content

Ludoya allows you to post and share content, including game collections, logs, reviews, and messages. By posting content, you:

  • Grant the Company a worldwide, non-exclusive, royalty-free license to use, display, distribute, and modify your content within the App.
  • Represent that you have the rights to share the content.
  • Acknowledge that the Company may remove or moderate content at its discretion.

6. Privacy Policy

Your use of the App is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using Ludoya, you consent to the collection and use of your data as outlined in the Privacy Policy.

7. Subscriptions and Billing

Ludoya is free to use. Optional paid plans unlock additional features and are described on our Premium page.

  • Plans and billing periods. Paid plans are offered on a monthly or annual basis and renew automatically at the end of each period until cancelled.
  • Payment processing. Payments are handled by Stripe. The Company does not store your card details. By subscribing, you authorise recurring charges to your chosen payment method.
  • Prices and taxes. Prices are shown on the Premium page and may be exclusive of applicable taxes, which are added at checkout where required.
  • Who a plan applies to. An individual plan applies to the account that bought it. A plan bought by an organization account applies to that organization and the group attached to it, covering its members while the subscription is active.
  • Price changes. The Company may change subscription prices. Changes apply from your next renewal, and you will be notified in advance with the opportunity to cancel before they take effect.
  • Failed payments. If a renewal payment fails, access to paid features may be suspended until payment succeeds.

8. Free Trials

Paid plans may be offered with a free trial.

  • A trial is available only if the account has never previously held that plan or a higher one, so trials cannot be chained by moving up through the tiers.
  • A payment method is required up front. Nothing is charged during the trial.
  • Unless cancelled before the trial ends, the subscription begins automatically and the first payment is taken at that point.

9. Cancellation and Refunds

  • Cancelling. You may cancel a subscription at any time. Cancellation stops future renewals; it does not end the period you have already paid for. You keep access to paid features until the end of that period.
  • No partial refunds. Payments already made are generally non-refundable, including for unused portions of a billing period, except where a refund is required by applicable law.
  • Statutory rights. If you are a consumer in the European Union, you retain any statutory right of withdrawal available to you under applicable law. Nothing in these Terms limits rights that cannot be limited by contract.
  • Termination by the Company. If the Company terminates your account for a breach of these Terms, fees already paid are not refunded.

10. Marketplace Transactions

The Marketplace lets users list games for sale or trade with one another.

  • The Company is not a party to these transactions. Ludoya provides the listing and messaging tools only. Payment, delivery, and any dispute are arranged directly between buyer and seller.
  • No escrow, no payment handling, no guarantee. The Company does not process marketplace payments, does not hold funds, and does not verify the condition, ownership, or existence of listed items.
  • Your responsibilities. Sellers are responsible for describing items accurately and for complying with any laws and taxes that apply to their sales. Buyers are responsible for satisfying themselves before paying.
  • Disputes. Disputes are resolved between the users involved. The Company may, but is not obliged to, remove listings or act on reports.

11. Event Ticketing

Organizers on eligible plans may sell paid admission to their events through Ludoya Tickets.

  • The organizer is the merchant of record. Tickets are sold by the organizer, through the organizer's own connected Stripe account. Buyers pay the organizer directly, and payouts are made to the organizer.
  • Service fee. The Company charges a fee of 3% of each ticket sale. Stripe's own processing fees are additional and are set by Stripe.
  • The organizer's obligations. The organizer is responsible for running the event as advertised, for its own refund and cancellation policy, for issuing refunds, and for any taxes arising from ticket sales.
  • The Company's role. The Company provides the ticketing tools. It is not the seller of tickets, is not responsible for the event taking place, and does not guarantee refunds. Complaints about an event should be directed to its organizer.
  • Availability. Ticketing is being rolled out gradually and may not be available to every account.

12. Ownership and Intellectual Property

All intellectual property rights in and to the App, including its design, code, and features, are owned by the Company. You may not use the App in any manner that infringes the intellectual property rights of the Company or others.

13. Modifications to the Service

The Company reserves the right to modify, update, or discontinue the App or any part of it at any time without notice. You agree that the Company will not be liable to you or any third party for any modification or termination of the App. Where a change materially reduces a paid feature you are actively paying for, you may cancel and will not be charged for periods after the change takes effect.

14. Termination of Access

The Company reserves the right to suspend or terminate your access to the App at any time, with or without cause or notice. Reasons for termination may include violation of these Terms or any unlawful activity. Upon termination, you will no longer have access to your account or any associated content.

15. Disclaimer of Warranties

Ludoya is provided "AS IS" and "AS AVAILABLE," without any warranties of any kind, either express or implied. The Company does not guarantee that the App will be available at all times or free from errors.

16. Limitation of Liability

To the fullest extent permitted by applicable law, the Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of your use of the App. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.

17. Indemnification

You agree to indemnify and hold the Company, its officers, employees, and affiliates harmless from any claims, liabilities, damages, or expenses (including legal fees) arising out of your use of the App, your violation of these Terms, or your infringement of any rights of another.

18. Third-Party Links and Services

Ludoya may include links to third-party websites or services, and integrates with third parties including BoardGameGeek, Board Game Arena, Telegram, Google, and Stripe. The Company is not responsible for the content or practices of these third parties, and you access them at your own risk and subject to their own terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the App will be resolved in the courts of Spain. If you are a consumer, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.

20. Changes to These Terms

The Company reserves the right to modify these Terms at any time. Changes will be posted within the App, and your continued use of the App will constitute acceptance of the updated Terms. Where a change materially affects your rights or the fees you pay, we will give you reasonable notice before it takes effect.
